ReadySeller Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of ReadySeller, an automated product processing and e-commerce optimization service ("Service"), operated by Cuiduc-Studio ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ReadySeller provides automated content optimization, multi-language processing, and e-commerce listing metadata generation tools. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice or liability.

3. User Accounts and Eligibility

To access certain features of the Service, you may be required to sign in with a valid Google account. You are solely responsible for maintaining the security and confidentiality of your Google account credentials, the devices and browsers you use to sign in, and your session credentials. You must be at the legal age of majority in your jurisdiction to form a binding contract, or have obtained explicit consent from your parent or legal guardian to use the Service.

4. Payment Processing and Taxes

All payments, subscription management, order processing, and applicable tax collections for the Service are handled by our authorized third-party payment processing partners or billing providers. By purchasing credits, subscriptions, or access to the Service, you agree to abide by the terms and privacy policies of the applicable payment provider. Cuiduc-Studio does not directly process, store, or transmit your credit card numbers or raw financial billing details.

5. Refunds and Cancellations

Because the Service grants immediate access to digital usage credits, cloud processing allocation, and automated output generation, all purchases are final and non-refundable, except where explicitly required by applicable law or stated otherwise in writing at the time of purchase. You may cancel recurring subscription plan renewals at any time via the subscription management links provided in your purchase confirmation email or payment receipt.

6. Intellectual Property and Output Rights

• Your Submitted Content: You retain all ownership rights to the product images, text, and data you upload or submit to the Service ("User Content").
• Generated Outputs: Subject to your full compliance with These Terms and payment of applicable fees, you are granted a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and commercially distribute the text, tags, and processed media generated by the Service ("Generated Content") for your e-commerce listings and marketing activities.
• Service Intellectual Property: All rights, title, and interest in and to the ReadySeller platform, software, user interfaces, documentation, and underlying brand assets remain the exclusive property of Cuiduc-Studio.

7. Prohibited Uses

You agree not to: - Upload, submit, or process content that infringes upon third-party copyrights, trademarks, privacy rights, or intellectual property laws. - Use the Service to generate false, misleading, deceptive, fraudulent, or illegal product listings. - Attempt to reverse-engineer, decompile, crawl, scrape, automatedly overload, or disrupt the integrity or performance of the Service infrastructure. - Resell, lease, or sublicense direct API or backend access to the Service without express written consent from Cuiduc-Studio.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CUIDUC-STUDIO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DO WE GUARANTEE THAT GENERATED METADATA WILL INCREASE SALES OR COMPLY WITH SPECIFIC THIRD-PARTY PLATFORM POLICIES (E.G., ETSY, AMAZON, SHOPIFY).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CUIDUC-STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL IN NO EVENT EXCEED THE AMOUNT EQUIVALENT TO ONE (1) MONTH’S FEES PAID BY YOU IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY. FOR ANNUAL PLANS, THIS SHALL BE CALCULATED AS 1/12 OF THE ANNUAL SUBSCRIPTION FEE. FOR PAY-AS-YOU-GO OR CREDIT PACK PURCHASES, THIS SHALL BE CALCULATED BY DIVIDING THE TOTAL PURCHASE AMOUNT BY THE NUMBER OF MONTHS OF ITS VALIDITY PERIOD (E.G., 1/6 OF THE PURCHASE AMOUNT FOR A 6-MONTH VALID CREDIT PACK).
